Every figure here comes from the figures you enter and the method stated beside it: your document count, your own hourly worth, your expected price. This site publishes no valuation, no tax position and no legal opinion; what a clause means for your deal is your solicitor's and your accountant's.

A dealership is three businesses in one building and they are valued separately. There is the franchise itself, which is priced on the earnings it produces and is usually described as blue sky. There is the inventory and the debt financing it, which is priced at a schedule rather than a multiple. And there is the property, which may or may not be included and is often worth more than the trading business. Anybody quoting you a single number for a dealership has skipped the part that matters.

The three pieces, priced three ways

Goodwill or blue sky is a multiple of adjusted earnings, and the multiple depends on the franchise more than on the dealer. New and used inventory is taken at an agreed valuation, usually close to cost with adjustments for ageing units. Parts, fixtures and equipment are counted at schedule. The real estate is valued as real estate, and whether it is sold, retained or leased to the buyer is a separate negotiation with a separate answer. An auto dealership valuation that blends them is hiding which part carries the price.

The franchise agreement decides who the buyer can be

The manufacturer generally has a right of approval over a transfer and often a right of first refusal, so the effective buyer universe is smaller than the market. Facility requirements matter too: a buyer inherits any commitment to upgrade or rebuild, and an outstanding facility obligation is a real cost that comes off the price. Settle what the manufacturer will accept before negotiating terms, because it is the constraint that most often resets a deal late.

Floor plan, inventory ageing and working capital

Inventory is financed, so the debt and the stock move together and the working capital requirement is large and visible. Ageing units are the argument: a buyer discounts what has sat, and a seller who has not aged the inventory themselves is negotiating from the buyer's schedule. Contracts in transit, factory receivables and unwound finance and insurance chargebacks are the other three items that are always settled late and should be measured early.

What diligence asks for that surprises sellers

Compliance history, in detail. Deal jackets, advertising claims, finance and insurance product disclosures, and how used vehicles are presented for sale. The Used Motor Vehicle Trade Regulation Rule requires the Buyers Guide to be displayed on used vehicles offered for sale and carried into the sale documents (16 CFR Part 455), and a pattern of failures there is a liability a buyer prices or refuses. Assemble the compliance file with the financials, not after them.

How to value a car dealership: common questions

What is blue sky in an auto dealership valuation?

The goodwill of the franchise, expressed as a multiple of adjusted earnings, separate from inventory, equipment and property. It is the part that varies most by brand, and it is the part a buyer will argue down using the earnings adjustments rather than the multiple itself, which is why the normalisation work matters more than the headline.

Does the property have to be sold with the dealership?

No, and the decision is worth taking deliberately. Many sellers keep the real estate and lease it to the buyer, which turns part of the sale into an income stream and changes both the tax position and the price of the trading business. What the lease says about term, rent review and repair then becomes part of what the buyer is pricing.

How long does approval from the manufacturer take?

Long enough that it belongs at the start of the timetable rather than the end. The practical answer is to identify what the manufacturer requires of a buyer before you have one, because a transfer that fails on approval after terms are agreed usually loses the buyer as well as the time.
