Every figure here comes from the figures you enter and the method stated beside it: your document count, your own hourly worth, your expected price. This site publishes no valuation, no tax position and no legal opinion; what a clause means for your deal is your solicitor's and your accountant's.

Your numbers

The figures above start from a worked example ($2,730). Change any input and the answer updates as you type.

This worksheet costs the job of assembling what a buyer's diligence will ask for, using your own figures: how many documents are on the list, how long it takes you to find and check one, what share of them you do not actually have to hand, and how long it takes to recreate or request one of those. It gives you the total hours, what that is worth at your own rate, and the hours a week you would need to be ready by your own deadline.

Selling a business checklist: common questions

How many documents does a buyer usually ask for?

It varies enormously with the size and the industry, which is why this worksheet asks you rather than assuming. If you have not seen a diligence list yet, start from the number of years and the number of categories you would expect to cover.

Why does the share you do not have to hand matter so much?

Because those are the ones that consume the time. Finding a document you know where to find is minutes; recreating a lease, a contract or a set of statements you cannot locate is a different order of work, and the worksheet separates the two.

Does this tell me what documents I need?

No, deliberately. What a particular buyer asks for depends on the deal and on their advisers. This prices the work of assembling whatever list you are given.

Exitvo Pro

Keeping what you make

The checklist is free. Pro is what happens once a buyer is actually asking: the documents go in as records, each request is tracked against the person who made it, and every version carries the date it was shared, so nobody has to remember which copy anybody has.
