Every figure here comes from the figures you enter and the method stated beside it: your document count, your own hourly worth, your expected price. This site publishes no valuation, no tax position and no legal opinion; what a clause means for your deal is your solicitor's and your accountant's.
A shop is bought for a location, a stock position and a trading pattern, and the three are valued separately. The stock is counted rather than multiplied, the lease sets a ceiling nothing else can lift, and the earnings are adjusted for the owner standing behind the counter. Online retail changes what the location is rather than the logic, because a marketplace account and a domain are the location. This page is what a buyer examines and what a seller should have ready.

Stock is counted, not multiplied
Inventory transfers at an agreed valuation rather than as part of a goodwill multiple, and the argument is about what is actually saleable. Ageing the stock by line, writing down what has not moved and separating consignment from owned is work a seller should do before a buyer's stocktake rather than during it. A business whose stock figure has never been tested is one whose earnings have probably been flattered by it.
The lease sets the ceiling
Remaining term, renewal rights, rent review mechanism, service charge, permitted use and whether assignment needs consent. For a physical shop this is the single largest constraint on value, because the trade is attached to the address. A short lease with no security caps the price whatever the accounts say, and negotiating a renewal before going to market is usually the most valuable work left to do.
Ecommerce business valuation moves the same questions online
The location becomes the channel: the marketplace account, the domain, the search and advertising positions, and the reviews. The concentration question becomes how much of the revenue comes through one platform and what that platform's rules say about transferring an account. The stock question is unchanged, and the owner-dependence question usually becomes who actually runs the advertising, which is the job most often invisible in the accounts.
How to value a retail business once the owner is paid properly
Add back the owner's drawings and take out what it would cost to employ somebody to do their hours, then look at what is left against the rent. Retail earnings are unusually sensitive to that adjustment because owners work long hours in their own shops. Do it before deciding what the business is worth to you, because it is the first thing a lender or a buyer's accountant will do.

Retail business valuation: common questions
What is retail valuation based on?
Adjusted earnings, the stock at an agreed value, and the lease as a constraint on both. Fixtures and equipment come in at a schedule. A buyer prices the earnings the shop produces for somebody who has to pay staff to do what the owner does, which is usually a smaller figure than the accounts show.
Does the stock get paid for on top of the price?
Usually yes, at a valuation taken at or near completion, and the agreement should say how it is counted, what is excluded and who resolves a disagreement. Leaving stock inside a headline price is the most common source of a late argument in a retail sale.
How does an ecommerce business valuation differ from a shop?
The lease question becomes a platform question and the concentration risk is usually higher, because one marketplace account can be most of the business and is not owned in the way a lease is held. Buyers price that carefully and will want to see the platform's own transfer process before agreeing a timetable.
